In these Terms, Forty Studio, we, us or our means Forty Studio, a sole trader business based in Canberra, ACT, Australia. By using this website, submitting an enquiry, purchasing a service, or otherwise engaging Forty Studio, you agree to these Terms and Conditions.If you do not agree to these Terms, please do not use the website or purchase our services.2. We may update, change or remove website content, service descriptions, inclusions, pricing information and availability at any time without notice. any related services we agree to provide in writing
Some services may be custom quoted. Others may be purchased through a third-party checkout platform such as Stan Store.4. How Services Are Engaged
4.1 Enquiries and applications
Submitting an enquiry, application form or contact form does not guarantee that we will accept your project. We may accept or decline projects at our discretion.4.2 Purchases through Stan Store or similar platformsSome services may be purchased directly through Stan Store or another third-party platform. A purchase is confirmed once payment has been successfully processed and the booking or order has been accepted. Third-party platform terms may also apply to the checkout process, payment processing or account access. Those third-party terms are separate from these Terms.5. Quotes, Scope and Service DescriptionsUnless expressly stated otherwise, editing services are custom quoted based on factors such as project complexity, footage length, number of deliverables, amount of editing required, turnaround expectations, revision needs and creative direction. Website descriptions are indicative only. Final scope, pricing, timeline and deliverables may vary depending on project complexity and the agreed brief. A quote or package includes only the specific services stated in the quote, offer, checkout page or written agreement.6. Payment Terms
6.1 Upfront payment
Full payment is required upfront unless otherwise agreed in writing. We are not required to start work until payment has cleared and we have received all required materials, instructions and access.6.2 SchedulingWork may be scheduled only after payment is received. Booking dates and turnaround periods are not guaranteed until then.6.3 Non-payment or payment disputesIf payment is not received, or is reversed, disputed or charged back without valid grounds, we may suspend work, withhold delivery, revoke access to review materials, or terminate the project.6.4 CurrencyPrices may be listed in Australian dollars, US dollars or another stated currency depending on the offer or platform.7. Client ResponsibilitiesTo allow us to perform the services properly, you must provide all materials, information, instructions and access reasonably required for the project.Depending on the service, this may include:
-footage
-brand assets
-logos
-intros and outros
-lower thirds
-scripts or talking points
-desired video length
-project objective
-notes on what to keep or remove
-music preferences
-examples or reference links
-account access where relevant
-approvals and permissions
-release forms where needed
-timely review feedback
-final approval within the review period
You are responsible for ensuring that your instructions are clear, complete and accurate. If materials or instructions are incomplete, unclear or delayed, this may affect quality, turnaround time, pricing or scope.8. Project WorkflowOur typical workflow is as follows.8.1 UploadYou will receive a private upload link, such as a WeTransfer link, to upload your project files. Where applicable, please organise uploads into clear folders, such as:-Footage
-Assets
-Notes
8.2 EditWe begin editing only once all required assets, notes, instructions and access have been received.8.3 ReviewDrafts are generally delivered through Frame.io or another review platform. Please leave timestamped comments directly on the video wherever possible.8.4 DeliveryOnce approved, final delivery is generally provided by secure link as a high-quality .mp4 or .mov file, unless otherwise agreed in writing.9. Turnaround TimesAny stated turnaround time is an estimate only unless expressly stated as a firm deadline in writing. Where we refer to a typical first draft delivery timeframe, that timeframe begins only after all required footage, assets, notes, instructions and access have been received.Delays caused by you, including delayed asset delivery, delayed feedback, missing information or changed instructions, may move delivery dates and may require re-quoting.10. Revisions
10.1 What counts as a revision round
A revision round means one set of consolidated feedback applied in one update. Feedback should be submitted in one organised batch through Frame.io or another agreed method.10.2 Included revisionsYour service includes either one or two revision rounds, depending on the selected package, quote or offer.10.3 Extra revisionsAdditional revision rounds are available at US$150 per round, unless otherwise agreed in writing.10.4 What is not included in a revisionA revision does not include:-a new brief
-a new creative direction
-replacing major approved sections with a different concept
-substantial restructuring of the script or story
-thumbnail design work
-additional versions not originally agreed
-changes requested after final approval
-changes caused by new materials or instructions supplied later
These items may be treated as out-of-scope work and billed separately.11. Out-of-Scope WorkUnless expressly included in the quote or offer, the following are not included and may incur an additional fee:-thumbnail work
-script restructuring
-story restructuring
-additional cuts or extra versions
-extra formats or exports
-platform-specific variant edits beyond the agreed deliverables
-additional stock sourcing beyond the agreed scope
-additional graphics or design work outside the agreed package
-source or project files
If extra work is requested, we may pause the project until the revised scope, fee and timeline are agreed.12. Feedback Deadlines, Paused Projects and InactivityYou must provide revision feedback within 7 calendar days of draft delivery unless otherwise agreed in writing. If you do not provide feedback within that time, we may treat the project as paused.If a project is inactive due to your delay, silence or failure to provide materials, approvals or feedback for 30 days or more, we may, at our discretion:-close the project
-re-quote the remaining work
-charge a restart fee before resuming
-archive or remove working materials, subject to any legal retention obligations
13. Delivery Format and Review Link AvailabilityFinal deliverables are generally supplied as a high-quality .mp4 or .mov export, unless otherwise agreed in writing. Unless otherwise stated in the quote, final delivery includes the agreed final exported file only.Frame.io review links are generally available for 7 days unless otherwise stated.You are responsible for downloading final deliverables promptly once provided.14. Video Editing Packages and InclusionsWhere stated on the website, editing packages may include items such as:-optimised pacing and storytelling for YouTube retention-animated titles, transitions and motion graphics
-client-provided images and B-roll
-royalty-free assets where appropriate
-audio cleanup and sound effects
-colour correction or colour grading
-royalty-free music safe for monetisation
-one or two revision rounds depending on the selected package
Final quote, inclusions and workflow may vary depending on the project. Any item not expressly included in the package, quote or offer is not included by default.15. Video Audits
15.1 What a video audit is
A video audit is a private strategic review of one talking-head education video.The audit may include professional opinion on areas such as:-your hook and first 60 seconds
-structure and storytelling flow
-pacing and micro-editing
-transitions and clarity
-audio and perceived professionalism
-on-camera presence
-visual clarity and framing
15.2 DeliverableUnless otherwise stated, a video audit includes:-one private recorded video
-approximately 30 minutes in length
-delivered as a private YouTube video link
15.3 No follow-up includedUnless otherwise stated, the audit does not include follow-up calls, follow-up questions, revisions or implementation work. If there is a clear factual error in the audit, we may correct it at our discretion.15.4 Professional opinion onlyA video audit is based on professional opinion, creative judgement and strategic review. It is intended to help you identify areas for improvement, not to provide guaranteed outcomes.16. No Guarantee of ResultsWe do not guarantee any specific platform, business or audience outcome from our services.This includes no guarantee of:-views
-watch time
-retention
-click-through rate
-reach
-impressions
-monetisation
-conversions
-enquiries
-subscriber growth
-audience growth
-revenue
Performance on YouTube, Instagram, TikTok and other platforms depends on many factors beyond our control, including topic choice, market conditions, thumbnails, titles, publishing consistency, audience fit, algorithm changes and your own implementation decisions.Video audits are informational and strategic in nature. They are not a guarantee that your next upload will perform better.17. Client Warranties and Supplied MaterialsYou warrant that all materials you provide to us, or instruct us to use, are lawful and that you have all necessary rights, permissions, licences, consents and approvals to use them.This includes, where relevant:-footage
-music
-sound recordings
-images
-graphics
-logos
-trademarks
-brand assets
-scripts
-likenesses
-names
-testimonials
-third-party content
-release forms
-permissions from contributors or talent
You are solely responsible for the legality, accuracy and authorised use of client-supplied materials.We may refuse to use, edit, publish or continue working with any material that appears unlawful, infringing, misleading, defamatory, unsafe or otherwise risky.18. Third-Party Materials and LicensingWhere we source third-party assets such as royalty-free music, stock footage, sound effects or graphics, those assets remain subject to the licence terms imposed by the original provider.We will take reasonable care to use appropriately licensed assets where included in the agreed scope, but third-party licence terms may restrict use, transfer, platform use, geographic use or future reuse.You are responsible for complying with any ongoing platform or licence conditions connected to your final use of the deliverables, where applicable.19. Intellectual Property
19.1 Ownership of final deliverables
Subject to full payment, you own the rights in the final deliverable created specifically for you to the extent set out in the agreed scope and subject to any third-party rights, pre-existing rights and licence restrictions.19.2 Our retained rightsWe retain ownership of:-our editing processes
-know-how
-methods
-templates
-systems
-workflows
-style elements
-pre-existing materials
-pitch materials
-draft materials not selected for final use
-project files
-DaVinci Resolve files
-timelines
-source files
-editable working files
Unless expressly agreed in writing, these items are not included in the service fee and do not transfer to you.19.3 Source and project filesFinal delivery includes the final exported file only, unless otherwise agreed in writing. Source files, project files, editable templates and working files may be made available only if expressly agreed and may incur an additional fee.19.4 Audit materialsVideo audits are provided for your internal review and business use only unless otherwise agreed. You must not resell, republish, distribute or commercially exploit the audit recording as a standalone product without our written permission.20. Portfolio and Publicity RightsUnless otherwise agreed in writing, we may display completed work, your name, your business name, your logo and reasonable excerpts of the work in our portfolio, website, social media, showreels and marketing materials. However, we will not do so before the relevant work has been publicly published by you, unless you consent earlier. If you require confidentiality for a specific project, you must request this in writing before work begins.Credit is appreciated where appropriate, but is not mandatory unless separately agreed in writing.21. ConfidentialityWe will treat non-public information you provide to us as confidential and will not intentionally disclose it to third parties except:-where reasonably necessary to perform the services
-where disclosure is required by law
-where the information is already public through no fault of ours
-where you have consented
-where disclosure is permitted under the portfolio clause after public release
If you require a separate confidentiality agreement or stricter confidentiality terms, that must be agreed in writing before work begins.22. Cancellations and Refunds
22.1 Change of mind
Because our services are creative, customised and time-based, change-of-mind cancellations are generally not eligible for a refund once a service has been booked or purchased.If you change your mind before supplying materials and before work has started, we may, at our discretion, offer a partial refund, credit or rescheduling option.22.2 Cancellation after work has startedIf you cancel after work has started, any refund is at our discretion except where you have rights that cannot be excluded by law.We may retain amounts reasonably reflecting:-work already completed
-time already allocated
-administrative time
-third-party costs already incurred
-non-recoverable expenses connected with the project
22.3 Consumer rights preservedNothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot lawfully be excluded under Australian law.23. Suspension and TerminationWe may suspend or terminate a project or service immediately if:-you fail to pay on time
-you breach these Terms
-you engage in abusive, threatening or inappropriate conduct
-you repeatedly expand scope without agreement
-you provide unlawful or risky instructions or materials
-continuing the work would expose us to legal, reputational or operational risk
If we suspend or terminate in these circumstances, you remain liable for:-fees for work already performed
-approved third-party costs already incurred
-any reasonable restart or administration costs, where applicable
If full payment has already been made, we may retain the portion reasonably attributable to completed work and incurred costs, subject to any non-excludable rights under law.24. Right to Refuse ServiceWe may refuse any enquiry, booking, purchase or project that we believe is not suitable, lawful, safe, commercially workable or aligned with our services.25. Limitation of LiabilityTo the maximum extent permitted by law:-we are not liable for any indirect, incidental, special or consequential loss
-we are not liable for loss of profits, loss of revenue, loss of goodwill, loss of audience, loss of opportunity, platform penalties or similar losses
-our total liability in connection with any claim relating to a service is limited to the amount paid by you for that specific service

Nothing in these Terms excludes liability that cannot lawfully be excluded, restricted or modified, including rights and remedies that may apply under the Australian Consumer Law.26. IndemnityYou agree to indemnify us against claims, losses, damages, liabilities, costs and expenses arising from:-your breach of these Terms
-materials you supply
-your lack of authority to use supplied materials
-infringement of third-party rights arising from your instructions or supplied content
-unlawful publication or use of deliverables outside the agreed scope
27. Australian Consumer LawNothing in these Terms excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law or any other law where those rights cannot lawfully be excluded.Where a law implies a guarantee, warranty or condition into these Terms and our liability cannot lawfully be excluded but can be limited, our liability is limited to the minimum extent permitted by law.28. PrivacyYour use of the website and any information you provide may also be governed by our Privacy Policy. Please read our Privacy Policy carefully.29. Third-Party Platforms and ToolsWe may use third-party platforms and tools in connection with the services, including upload tools, review tools, payment processors and video hosting platforms. We are not responsible for outages, delays, access restrictions or policy changes imposed by third-party platforms outside our control.30. Governing Law and Jurisdiction
These Terms are governed by the laws of the Australian Capital Territory. You agree that the courts of the Australian Capital Territory will have non-exclusive jurisdiction in relation to any dispute arising out of or in connection with these Terms or our services.
